This course provides students with key information on how to conduct private and public M&A deals, presents the main legal issues raised by M&A activity, and discusses how to run M&A deals as efficiently as possible.
The course will:
Cover the four main types of M&A deals (i.e. proprietary sale, auction, joint venture and public takeover) and describe the main features and legal issues in respect of each;
Provide indicative timetables;
Describe the main legal issues raised by M&A deals (corporate benefit/financial assistance/”put up or shut up rule”/…);
Identify the most common process-related issues;
Give an insight into market trends; and
Answer certain consents/approvals jurisdiction-specific requirements.
